PLEASE READ THESE TERMS CAREFULLY. These Terms of Use ("Terms") are a binding legal agreement between you and Chaptr Inc. and govern your use of the Chaptr website at chaptr.film and the Chaptr mobile application and related services (together, the "Service").

Section 16 contains a binding arbitration agreement and a class-action waiver. They affect how disputes between you and Chaptr are resolved. Unless you opt out within 30 days as described in Section 16, you and Chaptr agree to resolve disputes through individual arbitration rather than in court.

Chaptr's characters are artificial intelligence, not real people. When you message a character on Chaptr, you are interacting with AI. See Section 4.

1. Agreement to These Terms

By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy at https://chaptr.film/legal-pages/privacy-policy, which is incorporated by reference. If you do not agree, do not use the Service.

We may also make available additional rules for specific features — including our AI Character Safety & Crisis Protocol at https://chaptr.film/legal-pages/safety and, for creators who monetize content, a separate Creator Agreement. Those additional terms are incorporated into these Terms when you use the relevant features. If there is a conflict, the feature-specific terms control for that feature.

Changes. We may update these Terms from time to time. If we make material changes, we will notify you by email, in-app notice, or a prominent notice on the Site at least 30 days before they take effect, and we will update the "Last Updated" date above. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree to the changes, you must stop using the Service and may close your account.

2. Eligibility and Accounts

Minimum age. You must be at least 13 years old to create a Chaptr account and use the Service. If you are between 13 and 17, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and consents to your use of the Service. We may require verifiable parental consent or age assurance where the law requires it. Some features, including certain AI-character interactions and any mature content, are restricted for users under 18 as described in these Terms and our Privacy Policy.

Companion-style AI may not be suitable for all minors. Chaptr's AI characters can hold ongoing, human-like conversations. These interactions may not be suitable for all minors. Parents and guardians should review our AI Character Safety & Crisis Protocol at https://chaptr.film/legal-pages/safety.

Your representations. By using the Service, you represent that: (a) you meet the age requirements above; (b) you are not barred from using the Service under the laws of your jurisdiction or any applicable sanctions or export laws; (c) the information you provide is accurate; and (d) you will comply with these Terms and all applicable laws.

Account security. You are responsible for your account and for keeping your login credentials confidential. You must notify us promptly at support@chaptr.film of any unauthorized use. You may not share your account, and you may not create an account for anyone else or on behalf of a group without authorization. We are not liable for losses caused by unauthorized use of your account that results from your failure to safeguard your credentials.

Account closure. You may close your account at any time in the in-app settings or by emailing support@chaptr.film. Closing your account is subject to the data-retention terms in our Privacy Policy.

3. The Service

Chaptr is a streaming and creation platform for AI-generated short films and cinematic series. Through the Service you can, among other things: watch films and series created by Chaptr and its community; use AI-powered tools to create your own films, scenes, and characters; exchange messages with AI-generated characters that continue our stories; follow creators; and, if eligible, monetize the content you create.

We may add, change, suspend, or discontinue features of the Service at any time. We may also set limits on use of the Service (for example, on generations, messages, storage, or file sizes) and may modify those limits. We will try to give reasonable notice of material changes that adversely affect your use, but we are not required to do so where changes are needed for security, legal, or operational reasons.

The Service is not intended for emergencies. It is not a medical, legal, financial, psychological, crisis, or other professional service, and must not be relied on as one.

4. AI Features and AI Characters

This Section governs your use of Chaptr's AI features, including AI creation tools and AI characters you can message. It is important — please read it in full.

AI characters are artificial intelligence, not human. Every response you receive from a Chaptr character is generated automatically by artificial-intelligence models. Characters are fictional. They are not real people, do not represent real individuals, and have no independent knowledge, feelings, or judgment. A clear notice that you are interacting with AI is shown in the messaging experience.

AI output can be wrong or inappropriate. AI-generated content — including character messages, films, scenes, images, and other outputs — may be inaccurate, incomplete, offensive, or otherwise inappropriate, and may not reflect real facts, real events, or any person's actual views. You should not rely on AI output as a statement of fact.

Not professional advice. Chaptr and its AI characters do not provide medical, legal, financial, psychological, mental-health, or other professional advice, and nothing generated through the Service is a substitute for a qualified professional. Do not make decisions with legal, financial, health, or safety consequences based on AI output. If you need professional help, consult a licensed professional. If you are in crisis or someone may be in danger, contact your local emergency services. In the United States, you can reach the 988 Suicide & Crisis Lifeline by calling or texting 988.

Your inputs. You are responsible for the prompts, reference images, messages, and other inputs you submit to our AI features, and for ensuring you have the rights to submit them. Do not submit anything that violates Section 6 or the rights of others, and do not submit sensitive personal information (such as financial account numbers, government identifiers, passwords, precise location, or health information) about yourself or anyone else. See our Privacy Policy for how inputs and outputs are handled.

Third-party AI providers. To generate certain content and character responses, the content of your inputs and messages is sent to third-party AI model providers that return outputs to us. These providers are contractually prohibited from using your inputs for their own purposes or to train their models. Before you first use an AI feature, we present the providers we use and ask for your consent. By using our AI features after that disclosure, you consent to this processing.

Ownership of AI outputs. As between you and Chaptr, and subject to these Terms, outputs you generate using Chaptr's creation tools belong to you. You acknowledge that (a) AI outputs may be similar to or the same as content generated for other users, and we make no promise of uniqueness; (b) AI-generated material may not be eligible for copyright or other intellectual-property protection under the laws of some jurisdictions; and (c) you remain responsible for how you use outputs, including ensuring their use does not infringe others' rights or violate the law. You grant Chaptr the license described in Section 5 with respect to your outputs to the extent they are hosted or shared on the Service.

Prohibited uses of AI. You may not use Chaptr's AI features to produce, request, or attempt to elicit any content prohibited by Section 6. You may not attempt to bypass, disable, or manipulate our safety systems or content filters (including through "jailbreak" prompts), or use the AI features to generate content that sexualizes minors, depicts real identifiable people without consent, or facilitates unlawful activity. We may refuse, filter, or terminate any AI request and may suspend AI access for violations.

Safety systems and crisis support. We use automated systems, and in some cases human review, to detect and prevent prohibited content and to identify signals that a user may be at risk of harm. Where a conversation appears to indicate a risk of self-harm, we may surface crisis-support resources. Our AI Character Safety & Crisis Protocol is available at https://chaptr.film/legal-pages/safety. Chaptr is not a crisis service.

Protections for minors. For users we know to be under 18, we apply additional safeguards to AI-character interactions, including content filters designed to prevent sexually explicit material, a notice that the character is AI and not human, and — during continuous interactions — a reminder at least every three hours to take a break and that the character is AI-generated.

No guarantee of availability. AI features may be unavailable, delayed, rate-limited, or changed at any time. We do not guarantee that any AI feature, character, or output will remain available.

5. Your Content and License to Chaptr

"Your Content" means anything you create, upload, submit, post, or share on the Service, including films, scenes, scripts, prompts, reference images, images, audio, captions, comments, messages, and AI outputs you generate.

You own Your Content. As between you and Chaptr, you retain the ownership rights you have in Your Content, subject to the licenses below.

License to Chaptr. You grant Chaptr a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for example, to reformat or resize), create derivative works from (for example, to generate a preview, thumbnail, or caption), publicly perform, publicly display, and distribute Your Content, in each case solely to operate, provide, secure, improve, and promote the Service and as otherwise described in our Privacy Policy. For Your Content that you make public, this license also allows us and other users to view, share, and re-share it through Service features consistent with the visibility settings you choose. This license ends when Your Content is deleted from the Service, except (a) to the extent it has been shared with others who have not deleted it, (b) for de-identified or aggregated data, and (c) as required for backups, legal, or safety purposes, as described in our Privacy Policy.

Responsibility and representations. You are solely responsible for Your Content. You represent and warrant that you have all rights necessary to submit Your Content and to grant the license above, and that Your Content and its use by Chaptr and users as permitted here do not violate Section 6, any law, or any third party's rights. If Your Content includes the name, image, likeness, or voice of any real person, you represent that you have obtained all necessary consents from that person (or their parent or guardian if they are a minor).

Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.

6. Prohibited Content and Conduct

You agree not to use the Service to create, upload, generate, request, share, or facilitate any of the following, and not to engage in the following conduct. This is our acceptable-use policy.

Child safety (zero tolerance). Content that sexualizes, exploits, endangers, or abuses a minor is strictly prohibited, including any child sexual abuse material (CSAM); any sexual or suggestive content involving a minor or a character that appears to be a minor, whether real or AI-generated; grooming, solicitation, or any attempt to sexualize, contact, isolate, or harm a minor; and any content that promotes such conduct. We report apparent CSAM to the National Center for Missing & Exploited Children (NCMEC) and, as appropriate, to law enforcement, and we cooperate with authorities. Violations result in immediate termination.

Sexual content and non-consensual imagery. Pornographic or sexually explicit content; content that depicts non-consensual sexual activity; and intimate or sexual imagery of a real, identifiable person created or shared without that person's consent (including AI-generated "deepfakes").

Impersonation and likeness misuse. Content that uses the name, image, likeness, or voice of a real, identifiable person without consent, including to depict them saying or doing something they did not, or that impersonates any person or entity or misrepresents your affiliation.

Harassment, hate, and threats. Bullying, harassment, stalking, threats, or intimidation; content that incites or promotes violence; and hate speech or content that attacks or demeans people on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or other protected characteristics.

Self-harm. Content that promotes, encourages, or provides instructions for suicide, self-harm, or eating disorders. (If you are struggling, please see the resources in Section 4.)

Violence and dangerous activities. Gratuitous or realistic depictions of extreme violence or gore intended to shock; content that promotes terrorism or violent extremism; and content that facilitates serious physical harm, including instructions for weapons or dangerous substances.

Illegal and harmful conduct. Content or activity that is illegal, that facilitates illegal transactions (including in drugs, weapons, or stolen goods), or that promotes fraud, scams, or other deception; and infringement of intellectual-property, privacy, publicity, or other rights.

Platform integrity. Malware, viruses, or harmful code; unauthorized access to the Service or others' accounts; scraping, crawling, or harvesting data except as expressly permitted; spam, or artificial inflation of views, engagement, or payouts; reverse engineering, decompiling, or attempting to derive source code or model weights except to the extent this restriction is prohibited by law; interfering with or overburdening the Service; and circumventing, disabling, or manipulating our safety systems, content filters, age controls, or usage limits, including through "jailbreak" prompts.

No tolerance. By using features that display user-generated or AI-generated content, you agree that Chaptr has no tolerance for objectionable content or abusive behavior, and that we may remove content and remove or restrict users who violate these standards, as described in Section 7.

7. Moderation, Reporting, and Enforcement

Moderation. We may, but are not obligated to, review, monitor, filter, or moderate content on the Service, including through automated tools and human review, to detect and address violations of Section 6 and applicable law. We are not responsible for content created by users, and we do not endorse it.

Reporting and blocking. The Service provides tools to report content or conduct that may violate these Terms and to block other users. You can report objectionable content in-app or by contacting support@chaptr.film. We review reports and take action we consider appropriate, and we aim to act on reports of objectionable content promptly.

Enforcement. If you violate these Terms, we may take any action we consider appropriate, including removing or restricting content, limiting or disabling features (including AI access), issuing warnings, and suspending or terminating your account. We may act immediately and without notice where we believe it is necessary to protect users, comply with law, or prevent harm, including in cases involving child safety.

Notice and appeal (EU/EEA). For users in the EU/EEA, where we restrict or remove your content or account for illegality or breach of these Terms, we will provide a statement of reasons where required by the EU Digital Services Act and offer a means to appeal the decision. You can contact our EU point of contact at support@chaptr.film. You may also have the right to use an out-of-court dispute-settlement body.

Copyright and takedowns. Chaptr respects intellectual-property rights and responds to notices of alleged copyright infringement. If you believe content on the Service infringes your copyright, send a notice to support@chaptr.film that includes: identification of the copyrighted work; identification of the material you believe infringes and information reasonably sufficient to let us locate it; your contact information; a statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law; a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on its behalf; and your physical or electronic signature. We will review complete notices, remove or disable access to infringing material where appropriate, notify the affected user, and consider counter-notices. We terminate the accounts of repeat infringers in appropriate circumstances.

8. Intellectual Property

The Service, including the Chaptr application and website, our software, models, designs, text, graphics, our original films and series and their characters (including our flagship original series and characters), the "Chaptr" name and logo, and all related intellectual-property rights, are owned by Chaptr or its licensors and are protected by law.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use (or, for creators, as permitted by the Creator Agreement). You may not copy, modify, distribute, sell, or lease any part of the Service or our content, except as expressly permitted. All rights not expressly granted are reserved. You may not use our trademarks without our prior written permission.

9. Payments, Subscriptions, and Virtual Items

Overview. The Service offers a free tier and paid options, including the Chaptr Premium subscription and Coins. Prices and features are shown in the Service before you buy. Purchases made through the Apple App Store or Google Play are processed by those stores and are also subject to their terms; other purchases are processed by our payment processors.

Free tier. We offer a free tier with limited access to the Service. The features available on the free tier may change, and some content or features require Chaptr Premium or Coins.

Chaptr Premium (auto-renewing subscription). Chaptr Premium is an auto-renewing subscription available on weekly, monthly, or annual billing plans, depending on the plan you select. Your subscription automatically renews for the same period at the then-current price until you cancel. Your payment method is charged at the start of each billing period. You can manage or cancel your subscription through your app-store account settings (or in-app where available), and you must cancel before the renewal date to avoid the next charge. Deleting the app does not cancel a subscription.

Coins and virtual items. Coins are a virtual currency you can purchase and use within the Service to unlock episodes and to buy virtual items and features. Coins and virtual items are licensed, not sold, to you for use within the Service. They have no monetary value, are not your property, cannot be redeemed for cash or transferred outside the Service except as required by law, and may expire. The price of Coins, the number of Coins required to unlock content, and the availability and price of items may change. We may manage, regulate, modify, or eliminate Coins or virtual items at any time, and except as required by law we have no liability for doing so.

Free trials and promotions. If you start a free trial or promotional offer, you may be charged the applicable price when it ends unless you cancel beforehand, in accordance with the offer terms disclosed at sign-up.

Refunds. Except where required by law or by an applicable app-store policy, payments are non-refundable and there are no refunds or credits for partially used subscription periods, unused Coins or virtual items, or content you can no longer access. Refund requests for app-store purchases must be made to the relevant app store.

Price changes. We may change prices and introduce new fees. For subscriptions, we will give advance notice of price changes as required by law and, where required, obtain your consent before the change takes effect; otherwise the new price applies at your next renewal.

Taxes. Prices may not include taxes. You are responsible for any applicable taxes, which may be added to your purchase.

EU/EEA and UK consumers — right of withdrawal. For digital content, Coins, and virtual items delivered immediately, you expressly request that we begin performance at once and acknowledge that you lose your statutory 14-day right of withdrawal once delivery or download has begun. This does not affect any mandatory consumer rights that cannot be waived.

10. Creator Monetization

If you participate in Chaptr's creator or monetization programs, additional terms apply under our Creator Agreement, which governs eligibility, content requirements, payment rates, payout timing and thresholds, tax documentation, and related matters. You must provide accurate payout and tax information, and you are responsible for taxes on amounts you earn. We may change program terms and eligibility, and may withhold, adjust, or reverse payments in cases of fraud, error, chargebacks, or violations of these Terms or the Creator Agreement. Nothing in these Terms or that program creates an employment, partnership, agency, or joint-venture relationship between you and Chaptr.

11. App Stores and Third-Party Services

Third-party services and links. The Service may integrate with or link to third-party services (such as app stores, sign-in providers, and social platforms). We are not responsible for third-party services, and your use of them is governed by their terms. Links do not imply endorsement.

Apple-specific terms. If you download the app from the Apple App Store, the following apply, and you acknowledge and agree that:

  • These Terms are between you and Chaptr only, not Apple, and Apple is not responsible for the Service or its content.

  • Your license to use the app is a limited, non-transferable license to use it on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.

  • Apple has no obligation to provide any maintenance or support for the app. Questions and support requests should go to support@chaptr.film.

  • To the maximum extent permitted by law, Apple has no warranty obligation for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); otherwise Apple has no other warranty obligations.

  • Apple is not responsible for addressing any claims by you or a third party relating to the app or your use of it, including product-liability claims, claims that the app fails to conform to a legal or regulatory requirement, and consumer-protection or privacy claims. Chaptr, not Apple, is responsible for such claims as provided in these Terms.

  • Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that the app or your use of it infringes intellectual-property rights; Chaptr is responsible as provided in these Terms.

  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.

  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce these Terms against you.

Google Play. If you download the app from Google Play, your use is also subject to the Google Play Terms of Service.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the above, Chaptr does not warrant that the Service will be uninterrupted, secure, or error-free; that content or AI outputs will be accurate, reliable, appropriate, safe, or fit for any purpose; or that defects will be corrected. You use the Service and rely on any content or AI output at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. Nothing in these Terms limits any mandatory consumer rights that cannot be waived under applicable law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAPTR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE, CONTENT, OR AI OUTPUTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAPTR'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CHAPTR FOR THE SERVICE DURING THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limitations do not apply to liability that cannot be limited or excluded under applicable law, such as liability for gross negligence or willful misconduct, or, where applicable, for death or personal injury caused by negligence. Nothing in these Terms limits your mandatory rights as a consumer under the law of your country of residence.

14. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Chaptr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content and your inputs to our AI features; (b) your use or misuse of the Service; (c) your violation of these Terms or any law; or (d) your violation of any third party's rights. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us. This Section does not apply to the extent a claim arises from Chaptr's own conduct, and does not apply to consumers except to the extent permitted by applicable law.

15. Term and Termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if you violate these Terms, if we are required to by law, or if we reasonably believe it is necessary to protect the Service or others. We may also discontinue the Service or any part of it.

On termination, your right to use the Service ends. Sections that by their nature should survive — including Sections 4 (as to disclaimers), 5 (license and responsibility), 8, 12, 13, 14, 16, and 17 — survive termination. Handling of your data after termination is described in our Privacy Policy.

16. Dispute Resolution; Arbitration; Governing Law

Please read this Section carefully. It affects your legal rights.

Informal resolution first. Before starting an arbitration or a court proceeding, you agree to try to resolve the dispute informally by sending a written notice to support@chaptr.film describing the dispute and the relief you seek. You and Chaptr will try in good faith to resolve it for 60 days. If we cannot, either party may proceed as set out below.

Binding arbitration. Except as provided below, you and Chaptr agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitrator will decide all issues, except that a court decides the enforceability of the class-action waiver below. Judgment on the award may be entered in any court with jurisdiction.

Class-action and jury waiver. You and Chaptr agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding. You and Chaptr waive any right to a jury trial.

Coordinated filings. If 25 or more similar arbitration demands are submitted by or with the assistance of the same or coordinated counsel, the demands will be administered in staged batches of up to 50, with a single filing fee per batch and a bellwether process, to promote efficient resolution. Applicable limitation periods are tolled for demands awaiting a batch.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect its intellectual-property rights or to address unauthorized access to the Service. These exceptions are not subject to the arbitration requirement.

Your right to opt out. You may opt out of this arbitration agreement (including the class-action waiver) within 30 days after you first accept these Terms by emailing support@chaptr.film with your name, the email associated with your account, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Severability. If the class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court, while the rest of the arbitration agreement remains in effect.

Governing law and venue. These Terms and any dispute are governed by the laws of the State of New York and applicable U.S. federal law (including the Federal Arbitration Act for the arbitration provisions), without regard to conflict-of-laws rules. To the extent a dispute is not subject to arbitration and is brought in court, the state and federal courts located in New York County, New York will have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.

Consumers outside the United States. If you are a consumer residing in the EU/EEA, the UK, or another jurisdiction whose law gives you non-waivable rights, nothing in this Section deprives you of the protection of the mandatory consumer-protection provisions of the law of your country of residence, and you may be entitled to bring proceedings in your local courts. The arbitration and class-waiver provisions above apply only to the extent permitted by the law applicable to you. EU consumers may also use the European Commission's Online Dispute Resolution platform.

17. General

Entire agreement. These Terms, together with the Privacy Policy and any feature-specific terms incorporated by reference, are the entire agreement between you and Chaptr regarding the Service and supersede any prior agreements on that subject.

Severability. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, financing, or sale of assets.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

Export and sanctions. You agree to comply with all applicable export-control and sanctions laws, and you represent that you are not located in, or a resident of, an embargoed country and are not on a restricted-party list.

U.S. government users. The Service is a "commercial item" and is provided to U.S. government end users with only those rights granted to all other users under these Terms.

Language. These Terms may be provided in other languages for convenience, but the English version controls to the extent permitted by law.

Relationship. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Chaptr.
